These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and GovernX ("GovernX", "we", "us", "our"), governing your use of our autonomous AI digital marketing services, platform, and website at governxagency.com. By subscribing to or using any GovernX service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services.
1. Definitions
- "Service" means GovernX's autonomous AI digital marketing platform, including campaign management, ad tracking audits, attribution reporting, and all related features.
- "Ad Platforms" means Meta (Facebook/Instagram Ads), Google Ads, TikTok Ads, and any other advertising platforms integrated with the Service.
- "Ad Spend" means the budget you allocate and pay directly to the Ad Platforms for your advertising campaigns.
- "Subscription Fee" means the monthly or custom fee payable to GovernX for access to the Service, separate from Ad Spend.
- "Client Data" means data, content, and materials you submit to or through the Service, including business information, website URLs, ad account credentials, and creative assets.
- "Output" means campaign results, reports, recommendations, and other materials generated by the Service on your behalf.
2. The Service
2.1 What GovernX provides
GovernX operates an autonomous AI system that:
- Audits your website and digital properties for missing or broken ad tracking infrastructure (Meta Pixel, Google Ads tags, GA4, TikTok Pixel, server-side Conversion API)
- Configures, launches, and optimises paid advertising campaigns on Ad Platforms on your behalf
- Provides closed-loop attribution reporting across channels, campaigns, ad sets, and creatives
- Continuously scouts and identifies optimisation opportunities without human account managers
2.2 No agency relationship
GovernX acts as an independent service provider, not as your employee, partner, or agent. GovernX makes decisions autonomously using AI. While you retain ultimate control over your Ad Spend and can instruct GovernX to pause or stop campaigns, day-to-day optimisation decisions are made by the AI system without prior approval from you on each action.
2.3 Service changes
GovernX may modify, update, or discontinue features of the Service at any time. We will give at least 30 days' notice of any material reduction in functionality.
3. Accounts and Eligibility
3.1 Eligibility
You must be a registered legal entity or sole proprietor lawfully operating in South Africa (or another jurisdiction where GovernX makes its services available) with the legal capacity to enter into binding contracts. By registering, you represent and warrant that this is the case.
3.2 Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify GovernX immediately of any unauthorised use of your account at outreach@governxagency.com.
3.3 Accurate information
You agree to provide accurate, current, and complete information during onboarding and to keep this information updated. GovernX may suspend accounts where information is materially inaccurate or misleading.
4. Subscription and Payment
4.1 Subscription plans
GovernX offers tiered subscription plans as set out on governxagency.com. Subscription Fees are charged in South African Rand (ZAR) and are subject to VAT at the rate applicable from time to time.
4.2 Billing
Subscription Fees are billed monthly in advance on the same date each calendar month ("Billing Date"). Payment is due immediately on the Billing Date. Where a Billing Date falls on a weekend or public holiday, payment is due on the next business day.
4.3 Ad Spend
Ad Spend is paid directly by you to the Ad Platforms using your own payment methods. GovernX does not mark up Ad Spend and does not receive any commission, rebate, or incentive from Ad Platforms. Your Subscription Fee and your Ad Spend are entirely separate obligations.
4.4 Late payment
If a payment fails or is not received within 5 business days of the Billing Date, GovernX may suspend your Service without further notice until payment is made in full. GovernX reserves the right to charge interest on overdue amounts at the rate of 2% per month (compounded monthly) from the due date until payment is received.
4.5 Price changes
GovernX will give at least 30 days' written notice of any Subscription Fee increase. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
4.6 Taxes
You are responsible for all taxes, duties, and levies applicable to your use of the Service and your Ad Spend, other than taxes on GovernX's income.
5.1 Your platform accounts
You must have valid, active accounts with the relevant Ad Platforms (Meta Business Manager, Google Ads account, TikTok Ads Manager, etc.) to use the Service. GovernX will be granted access to manage campaigns within your platform accounts; ownership of those accounts remains with you at all times.
5.2 Platform policies
You are responsible for ensuring that your advertising content, products, and business practices comply with the terms of service, advertising policies, and community standards of each Ad Platform. GovernX will not knowingly submit content that violates platform policies, but GovernX does not warrant that the Ad Platforms will accept or approve any specific campaign, ad, or creative.
5.3 Platform changes
Ad Platforms may change their policies, algorithms, data access rules, or pricing at any time without notice to GovernX or you. GovernX is not liable for any impact such changes have on your campaign performance, data availability, or costs.
5.4 Ad account suspension
If an Ad Platform suspends or terminates your ad account, GovernX's ability to provide the Service will be affected. GovernX is not liable for account suspensions caused by the Ad Platforms.
6. Acceptable Use
You agree not to use the Service to:
- Advertise illegal products, services, or activities under South African law or the laws of the jurisdiction in which you operate
- Engage in deceptive, misleading, or fraudulent advertising practices
- Promote content that is defamatory, discriminatory, or in violation of any person's rights
- Circumvent any Ad Platform's verification, billing, or policy enforcement systems
- Attempt to reverse-engineer, copy, or replicate GovernX's proprietary AI systems or methodologies
- Provide false or misleading information to GovernX that causes the Service to produce inaccurate or harmful outputs
- Use the Service in a manner that violates POPIA, the Consumer Protection Act, or any other applicable South African law
GovernX reserves the right to immediately suspend or terminate your subscription without refund if you breach this clause.
7. Intellectual Property
7.1 GovernX's IP
All rights in the Service, including the AI models, algorithms, software, platform architecture, methodologies, brand, and all related technology, are owned by GovernX or its licensors. Nothing in these Terms grants you any ownership interest in GovernX's intellectual property. You receive only a limited, non-exclusive, non-transferable, revocable licence to use the Service during your active subscription.
7.2 Your IP
You retain all ownership of Client Data and creative assets you provide to GovernX. You grant GovernX a non-exclusive, royalty-free licence to use Client Data solely to provide the Service to you. GovernX will not use your Client Data to train general AI models without your written consent.
7.3 Output
Campaign outputs, reports, and creative materials generated specifically for your account are yours to use for your own business purposes. GovernX retains the right to use anonymised, aggregated, non-identifiable performance data to improve the Service.
8. Data and Confidentiality
8.1 Privacy
GovernX's collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.2 Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent. Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law or court order.
8.3 Your data obligations
You warrant that you have the legal right to provide all Client Data to GovernX and that its use by GovernX for the purposes of the Service will not infringe the rights of any third party or violate any applicable law, including POPIA.
9. Disclaimers
No guarantee of advertising results
GovernX uses AI to optimise campaigns, but advertising outcomes depend on many factors outside GovernX's control — including market conditions, Ad Platform algorithms, competitor activity, audience behaviour, creative quality, and your product or service offering. GovernX makes no warranty, express or implied, that the Service will achieve any specific ROAS, CPA, revenue, lead volume, or other performance metric. Results communicated on our website represent historical examples and are not a guarantee of future performance.
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, GovernX disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. GovernX does not warrant that the Service will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by South African law:
- GovernX's total cumulative liability to you for any claim arising under or in connection with these Terms or the Service — whether in contract, delict (tort), or otherwise — is limited to the total Subscription Fees paid by you to GovernX in the three (3) calendar months immediately preceding the event giving rise to the claim.
- GovernX is not liable for any loss of revenue, loss of profit, loss of anticipated savings, loss of data, loss of business opportunity, or any indirect, incidental, special, punitive, or consequential loss or damage, even if GovernX has been advised of the possibility of such loss.
- GovernX is not liable for any loss arising from your Ad Spend decisions, Ad Platform account suspensions, changes to Ad Platform policies or algorithms, or third-party service failures.
Nothing in these Terms limits GovernX's liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify, defend, and hold GovernX and its officers, employees, and contractors harmless from and against any claim, loss, liability, damage, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or third-party right; (c) Client Data you provide to GovernX; or (d) your advertising content or business practices.
12. Term and Termination
12.1 Term
These Terms commence on the date you subscribe to the Service and continue month-to-month until terminated in accordance with this clause.
12.2 Cancellation by you
You may cancel your subscription at any time by giving one (1) full calendar month's written notice to GovernX. Cancellation terms are set out in full in our Cancellation Policy.
12.3 Termination by GovernX
GovernX may terminate or suspend your subscription immediately, without notice or refund, if you: (a) breach these Terms and fail to remedy the breach within 7 days of written notice; (b) engage in conduct that GovernX reasonably believes is fraudulent, illegal, or harmful to GovernX or third parties; (c) become insolvent or enter business rescue, provisional liquidation, or liquidation; or (d) fail to pay any amount due within 5 business days of the Billing Date.
12.4 Effect of termination
On termination: your licence to use the Service ends; GovernX will deactivate your campaigns and revoke its access to your Ad Platform accounts; your data will be handled in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including clauses 7, 9, 10, 11, 13, and 14) continue to apply.
13. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the High Court of South Africa (Western Cape Division, Cape Town), unless the parties agree to refer the dispute to expedited arbitration under the AFSA rules.
Before commencing any formal dispute process, the parties agree to attempt to resolve the dispute by senior-level negotiation for a period of 30 days from the date one party notifies the other in writing of the dispute.
14. General
- Entire agreement: These Terms, together with the Privacy Policy and Cancellation Policy, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements or representations.
- Amendments: GovernX may update these Terms at any time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
- No waiver: Failure by GovernX to enforce any provision of these Terms is not a waiver of its right to do so in future.
- Assignment: You may not assign your rights or obligations under these Terms without GovernX's prior written consent. GovernX may assign these Terms to any successor entity or acquirer of its business.
- Notices: Notices to GovernX must be sent to outreach@governxagency.com. Notices from GovernX will be sent to the email address on your account.
Privacy Policy

1. Who We Are
GovernX ("we", "us", "our") operates an autonomous AI digital marketing platform at governxagency.com. This Privacy Policy explains how we collect, use, store, and protect personal information in compliance with the Protection of Personal Information Act, 4 of 2013 (POPIA).
2. Personal Information We Collect
We collect personal information only to the extent necessary to provide our services.
2.1 From subscribers (clients)
- Identity: Full name, business name, company registration number
- Contact: Email address, phone number
- Business information: Website URL, industry, target audience, advertising goals
- Ad platform credentials: Access tokens and permissions to your Meta, Google, and TikTok ad accounts (managed securely — we do not store raw credentials)
- Billing: Subscription plan, payment status, billing dates (card details are processed directly by our payment provider — we do not store card numbers)
- Usage data: Platform usage, campaign settings, reporting preferences
2.2 From website visitors (governxagency.com)
- Server logs: IP address, request timestamps, referring URL, browser type — retained 30 days for security
- Application telemetry via Azure Application Insights (anonymised)
- Contact form submissions: name, email, message content
2.3 From leads scouted by the AI system
GovernX's AI autonomously scouts South African businesses from publicly available digital sources (websites, public business directories, ad library data). This involves processing publicly available business contact information (business name, website, public email addresses). We do not build personal profiles on private individuals; scouting targets are business entities and their publicly listed contact points.

4. Legal Basis for Processing
- Contract: Processing necessary to perform your subscription agreement (account management, service delivery, billing)
- Legitimate interest: Security monitoring, fraud prevention, business scouting from public sources, service improvement
- Legal obligation: Retaining financial records as required by South African law (Companies Act, SARS)
- Consent: Marketing communications — you may opt out at any time
5. Who We Share Personal Information With
We do not sell personal information. We share it only with the following third-party processors, under written data processing agreements, solely to deliver the Service:

We may disclose personal information where required by law, court order, or a regulatory authority with jurisdiction over GovernX.
6. Cross-border Transfers
Processing on Microsoft Azure infrastructure in West Europe and Southeast Asia is covered by Microsoft's Data Processing Addendum and standard contractual clauses. Transmission of campaign data to Meta, Google, and TikTok APIs involves transfers to servers in the United States and other jurisdictions. These transfers occur under the standard contractual clauses and data transfer mechanisms maintained by those platforms. Where possible, we configure data residency settings to retain data in South Africa or the European Economic Area.

When retention periods expire, personal information is securely deleted or irreversibly anonymised.
8. Your Rights as a Data Subject
Under POPIA you have the right to:
- Access: Request a copy of the personal information we hold about you
- Correction: Request correction of inaccurate or incomplete information
- Deletion: Request deletion (subject to legal retention obligations)
- Objection: Object to processing based on legitimate interest
- Withdraw consent: Withdraw consent to marketing at any time without affecting prior processing
- Lodge a complaint: Complain to the Information Regulator if you believe your rights have been violated

9. Cookies and Tracking
The GovernX website uses only strictly necessary cookies and local storage to maintain session state. We do not use advertising cookies or third-party tracking pixels on our own website. Azure Application Insights may set a session cookie for performance monitoring; this data is anonymised before analysis. You can disable cookies in your browser settings; some Service functionality may be affected.
10. Security
- Encrypted connections (HTTPS / TLS 1.2+) on all endpoints
- Data at rest encrypted on Azure infrastructure
- API credentials stored in Azure Key Vault — never in code or logs
- Rate limiting and IP-based abuse prevention on all public endpoints
- Multi-region architecture with automated failover
- Webhook signature verification on all payment and platform callbacks
No transmission over the internet is completely secure. In the event of a data breach likely to prejudice you, we will notify you and the Information Regulator as required by POPIA within 72 hours of becoming aware of the breach.
11. Children
GovernX is a B2B service intended for business operators. We do not knowingly collect personal information from persons under 18 years of age. If you believe a minor has submitted personal information to us, contact us immediately at outreach@governxagency.com.
12. Changes to This Policy
We may update this Privacy Policy periodically. The effective date at the top of this page reflects the most recent version. Where changes are material, we will notify registered clients by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised policy.
PAIA Manual

This manual is published in compliance with Section 51 of the Promotion of Access to Information Act, 2 of 2000 (PAIA). PAIA gives effect to the constitutional right of access to information held by private bodies where such access is required for the exercise or protection of any right.
1. Introduction
PAIA requires every private body to compile a manual setting out the records it holds, how the public may request access to those records, and the grounds on which access may be refused. This manual applies to GovernX and all records held in connection with our services and operations.

3. Information Officer
The Information Officer is responsible for encouraging compliance with PAIA, dealing with requests for access to records, and acting as the point of contact between GovernX and the Information Regulator.

7. How to Submit a PAIA Request
A request for access to records must be made on PAIA Form C, available from the SAHRC or the Department of Justice and Constitutional Development.
Completed requests must be submitted to the Information Officer:
Your request must include:
- Your full name and contact details
- A description of the records you are requesting
- Your preferred form of access (electronic copy, inspection, etc.)
- Certified copy of your identity document
- If requesting on behalf of another person, proof of authorisation
- The right you seek to exercise or protect and why access is required
8. Fees
A non-refundable request fee of R50.00 is payable before processing, as prescribed by the PAIA Regulations.
If the request is granted, access fees are charged at the rates prescribed in the PAIA Regulations (available from the Department of Justice and Constitutional Development).
Where a requester is a personal requester seeking only their own personal information, no request fee is charged.
9. Grounds for Refusal
GovernX may refuse a request on the following grounds under PAIA:
- Mandatory protection of privacy of a third party (sections 63–64)
- Mandatory protection of commercial information of a third party (section 65)
- Mandatory protection of certain confidential information of a third party (section 66)
- Mandatory protection of safety of individuals and property (section 67)
- Mandatory protection of records privileged from production in legal proceedings (section 67)
- Commercial information of GovernX itself (section 68)
- Research information of GovernX (section 69)
- The record does not exist or cannot be found after a reasonable search (section 23)
10. Remedies if a Request is Refused
If your request is refused (or you receive no response within 30 days, which constitutes deemed refusal), you may:
- Apply to court for relief under section 78 of PAIA
- Complain to the Information Regulator under section 74 of POPIA

Cancellation Policy

1. Overview
GovernX subscriptions run on a rolling monthly basis. This policy sets out the notice requirements, billing obligations, and data handling that apply when you cancel your subscription.
Key rule: All GovernX subscriptions — Starter, Growth, Scale, and Enterprise — require one (1) full calendar month's written notice to cancel. A cancellation request is not effective until you receive written confirmation from GovernX.
2. Notice Period
2.1 One full calendar month
To cancel your subscription, you must submit written notice to GovernX at least one (1) full calendar month before your next Billing Date. "One full calendar month" means the entirety of the calendar month following the month in which notice is received.
2.2 When your notice takes effect

Notice submitted on or after your Billing Date within a billing period does not take effect until the following calendar month has been served in full.
2.3 Confirmation required
A cancellation request is not effective until GovernX sends you written confirmation of the cancellation date. GovernX will confirm within 2 business days of receiving your request. If you do not receive confirmation, contact us immediately — your subscription is not cancelled until confirmed.
3. Billing During the Notice Period
Your subscription fee continues to be charged on each Billing Date during the notice period. You retain full access to all GovernX services — including active campaign management, attribution reporting, and AI optimisation — throughout the notice period.
4. Refund Policy
No refunds are issued for any portion of a paid billing period. All subscription fees are earned in full at the start of each billing cycle. GovernX does not offer pro-rata refunds for partial months or early cancellations within a billing period.
If GovernX terminates your subscription due to a material breach on GovernX's part (other than a breach caused by you), GovernX will refund any prepaid fees proportionally for the unused period.
5. Effect of Cancellation
When your subscription ends at the close of the notice period:
- GovernX will pause and deactivate your active campaigns on all Ad Platforms
- GovernX's access to your Meta, Google, and TikTok ad accounts will be revoked
- You will lose access to the GovernX platform dashboard and reporting tools
- Your account data (campaign history, reports, attribution data) will be retained for 12 months in accordance with our Privacy Policy, after which it will be securely deleted
- You may request an export of your campaign data and reports before the retention period expires by emailing outreach@governxagency.com
6. How to Cancel
Send your written cancellation notice by email:
Your notice must include:
- The email address registered to your GovernX account
- Your business name and subscription plan
- The date on which you are submitting notice
- Your requested cancellation date (we will confirm whether this is within the notice period)
Do not assume your subscription is cancelled until you receive written confirmation. If GovernX does not confirm within 2 business days, follow up immediately.
7. Reactivation
You may reactivate a cancelled account at any time by subscribing again at the then-current pricing. If your account data has not yet been deleted under the retention schedule, your previous campaign history and reports will be restored. No setup fee applies to reactivation.
GovernX does not guarantee that the same subscription plan or pricing will be available at the time of reactivation.
8. GovernX-Initiated Suspension or Termination
GovernX may suspend or terminate your subscription immediately, without notice, in the circumstances set out in our Terms of Service (including non-payment, material breach, fraud, or insolvency). In such cases, the one-calendar-month notice period does not apply and no refund will be issued for fees already paid.
